As artificial intelligence models expand and hyper-scaler data centers push electrical grids to their limit, one critical industry has emerged as the true backbone of the AI boom: data center power and white-space infrastructure.
Miamisburg, Ohio–based Accelevation Holdings Corp. has officially launched its roadshow, setting terms to raise $660 million in an initial public offering (IPO) on the Nasdaq Global Select Market under the ticker ACCV.
At a target price range of $20.00 to $24.00 per share, the offer values the company at an estimated $4.9 billion market capitalization at the $22.00 midpoint.
1. The IPO Details: Structure and Key Terms
According to the official SEC filings, the offering consists of 30 million Class A common shares:
- Company Shares: Accelevation is directly offering 8,635,165 primary shares.
- Selling Stockholders: Existing owners—primarily private equity sponsor Olympus Partners—are offering 21,364,835 secondary shares.
- Over-Allotment Option: Underwriters hold a 30-day option to purchase up to an additional 4.5 million shares.
- Underwriting Syndicate: Led by Wall Street heavyweights Morgan Stanley, J.P. Morgan, Goldman Sachs, Barclays, and BofA Securities as joint lead bookrunners.
Because roughly 71% of the offering consists of secondary shares, Accelevation itself will only receive net proceeds from its ~8.64 million primary shares. The proceeds are slated to reduce existing debt, cover organizational expenses, and fund general corporate purposes via an Up-C structure. Olympus Partners will retain majority voting power following the offering.
2. Why Wall Street Is Watching: Riding the AI Infrastructure Wave
While public attention often focuses on chip manufacturers and AI software developers, data center developers face an immediate operational bottleneck: power delivery and physical deployment speed.
