Please read these Terms of Use (“Terms”) carefully before using the website https://thephillypi.com/ (the “Service”) operated by The Philadelphia Post-Intelligencer (referred to as “The Philly PI,” “us,” “we,” or “our”).
Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service.
By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Service.
1. Access and Use of the Service
A. Eligibility: You must be at least 13 years old to use the Service. By using the Service, you represent and warrant that you are of legal age to form a binding contract with The Philly PI.
B. Account Creation: If the Service requires you to create an account, you agree to:
- Provide accurate, current, and complete information during the registration process.
- Maintain the confidentiality of your password and accept responsibility for all activities that occur under your account.
- Notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.
C. Subscription and Fees:
- Some parts of the Service may be available only through a paid subscription. You will be billed on a recurring and periodic basis (e.g., monthly or annually), as specified during registration.
- You agree to pay all applicable fees and taxes. We reserve the right to change our subscription fees upon reasonable prior notice.
- You may cancel your subscription at any time; however, cancellation will only take effect at the end of your current billing period. No refunds will be provided for any partial billing periods.
2. Intellectual Property Rights
A. Ownership: The Service and its original content (excluding user-provided content), features, and functionality are and will remain the exclusive property of The Philadelphia Post-Intelligencer and its licensors. The Service is protected by copyright, trademark, and other laws of the United States and foreign countries.
B. Limited License: You are granted a non-exclusive, non-transferable, revocable license to access and use the Service strictly in accordance with these Terms for your personal, non-commercial reading purposes.
C. Restrictions: You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Service, except as generally and expressly permitted by the Service (e.g., sharing a link via social media).
3. User Content and Conduct
A. User Content: The Service may allow you to post, link, store, share, and otherwise make available certain information, text, graphics, videos, or other material (“User Content”) in areas like comment sections. You are solely responsible for the User Content that you post.
B. License to The Philly PI: By posting User Content to the Service, you grant us a non-exclusive, royalty-free, perpetual, worldwide, fully paid, and sub-licensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content throughout the world in any media.
C. Prohibited Uses: You agree not to use the Service:
- In any way that violates any applicable federal, state, local, or international law or regulation.
- To transmit, or procure the sending of, any advertising or promotional material, including any “junk mail,” “chain letter,” “spam,” or any other similar solicitation.
- To impersonate or attempt to impersonate The Philly PI, a The Philly PI employee, another user, or any other person or entity.
- To engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of the Service, or which, as determined by us, may harm The Philly PI or users of the Service or expose them to liability.
- To post content that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable.
We reserve the right to remove or modify any User Content for any reason, including content that we believe violates these Terms.
4. Links to Other Websites
Our Service may contain links to third-party websites or services that are not owned or controlled by The Philly PI.
The Philly PI has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You further acknowledge and agree that The Philly PI shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods, or services available on or through any such websites or services.
5. Disclaimer of Warranties
YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. THE SERVICE IS PROVIDED WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.
THE PHILLY PI DOES NOT WARRANT THAT:
- THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
- THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE.
- THE CONTENT ON THE SERVICE IS ACCURATE, COMPLETE, OR CURRENT.
6. Limitation of Liability
IN NO EVENT SHALL THE PHILLY PI, NOR ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (III) ANY CONTENT OBTAINED FROM THE SERVICE; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.
7. Indemnification
You agree to defend, indemnify, and hold harmless The Philadelphia Post-Intelligencer and its licensee and licensors, and their respective employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password; b) a breach of these Terms; or c) any User Content posted by you on the Service.
8. Governing Law
These Terms shall be governed and construed in accordance with the laws of the State of Pennsylvania, United States, without regard to its conflict of law provisions.
9. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days’ notice before any new terms take effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
